Partnership Agreement
1. Parties
This Partnership Agreement ("Agreement") is entered into between:
- Headlines Agency, a subsidiary of Share Me Live LLC ("Agency"), and
- The undersigned streamer/content creator ("Partner").
Together referred to as "the Parties."
2. Partner Responsibilities
- Minimum Streaming Hours: Partner agrees to stream a minimum number of hours per week on the Share Me Live platform as outlined in their assigned tier (see Section 3).
- Content Standards: Partner shall maintain professional, community-friendly content that aligns with Share Me Live's community guidelines and terms of service.
- Promotion Requirements: Partner agrees to actively promote their Share Me Live streams across their personal social media accounts at least twice per week, including but not limited to Instagram, TikTok, Twitter/X, and Facebook.
- Platform Engagement: Partner shall respond to viewer comments, engage with the community, and participate in platform-wide events when reasonably requested by the Agency.
- Availability: Partner agrees to maintain regular communication with their assigned Agency manager and respond to communications within 48 hours.
3. Revenue Split Terms
Gift Revenue: Partner's share of virtual gift revenue is determined by their weekly streaming hours, according to the following tier structure:

Subscription Revenue: Partner retains 60% of all subscriber payments, regardless of tier.
Revenue splits are calculated on a monthly basis. Tier assignment is recalculated at the beginning of each calendar month based on the prior month's streaming hours.
4. Agency Commission
Headlines Agency earns a commission of 15% of the Partner's total earnings (gifts + subscriptions) as compensation for management, promotion, platform placement, and support services provided under this Agreement.
The commission is deducted before payout. For example, if a Partner earns $1,000 in a given month at a 55% gift split, the Agency retains its 15% commission from the Partner's share, and the remaining balance is paid to the Partner.
5. Payout Terms
- Payouts are made directly to the Partner's registered PayPal account.
- Partners may request a cashout at any time once their balance meets the minimum payout threshold of $25.00 USD.
- Payouts are processed within 5 business days of a cashout request.
6. Health Benefit Deduction Terms
- Partners have the option to enroll in health insurance plans through the Agency's partnership with Stride Health.
- Enrollment is entirely opt-in. No Partner is required to participate.
- Plans are available at no upfront cost to the Partner. Monthly insurance premiums will be deducted from the Partner's earnings at the time of each cashout.
- The deduction amount will be clearly itemized on the Partner's payout statement.
- Partner may opt out of health benefits at any time with 30 days written notice to the Agency.
7. Bonus Eligibility
- Referral Bonus: A monthly bonus is awarded to the Partner who refers the most new streamers to the Share Me Live platform during that calendar month. Referred streamers must complete onboarding and stream at least 5 hours to qualify.
- Performance Bonus: Monthly performance bonuses are awarded to the top earning streamers in the Agency. Eligibility requires meeting minimum tier requirements (Silver or above).
- Bonus Payment: Bonuses are paid in Share Me Live coins or cash equivalent, at the Agency's discretion.
- Bonus programs, amounts, and eligibility criteria are subject to change with 30 days notice to Partners.
8. Non-Compete Clause
During the term of this Agreement, Partner agrees to stream exclusively on the Share Me Live platform. Partner shall not maintain active streamer accounts or conduct live streaming on competing platforms, including but not limited to TikTok Live, Twitch, YouTube Live, Kick, or any other live streaming service.
Posting pre-recorded or promotional content on other social media platforms (Instagram, TikTok, Twitter/X, YouTube, Facebook) for the purpose of driving viewers to Share Me Live is permitted and encouraged.
9. Term and Termination
- This Agreement is effective from the date signed and continues for an initial term of twelve (12) months, automatically renewing for successive 12-month periods unless terminated.
- Termination by Agency: Share Me Live LLC and/or Headlines Agency reserves the right to terminate this Agreement at any time, for any reason, with 30 days written notice to the Partner.
- Termination by Partner: Partner may terminate this Agreement with 30 days written notice to the Agency. The non-compete clause (Section 8) remains in effect for 90 days following termination.
- Immediate Termination: The Agency may terminate this Agreement immediately, without notice, if Partner violates community guidelines, engages in fraudulent activity, or brings disrepute to the Agency or Share Me Live platform.
- Upon termination, any outstanding earnings will be paid out within 30 days, less any applicable deductions.
10. Additional Terms
Additional positions and terms may be added as the agency grows. The Agency reserves the right to update compensation structures, bonus programs, and operational policies with reasonable notice to Partners. Material changes to revenue splits require 60 days written notice.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Louisiana, United States of America. Any disputes arising under this Agreement shall be resolved in the courts of the State of Louisiana.
12. Entire Agreement
This Agreement constitutes the entire understanding between the Parties and supersedes all prior discussions, negotiations, and agreements. Amendments must be in writing and signed by both Parties.
